1. Acceptance of Terms

By creating an account, accessing, or using the GuruduX Enterprise platform (the "Service"), you agree to these Terms. You represent that you have the authority to bind the organization you represent to these Terms.

2. Service Level and Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.
GuruduX Enterprise explicitly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

• No Uptime Guarantee: We do not guarantee 100% uptime, uninterrupted access, or error-free operation of the Service.
• No Liability for Disruptions: We are not responsible or liable for any business interruptions, data loss, revenue loss, or any other damages arising from the unavailability or malfunctioning of the platform.

3. Limitation of Liability and Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GURUDUX ENTERPRISE, ITS OWNERS, AFFILIATES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, GOODWILL, DATA, OR REVENUE).

MAXIMUM LIABILITY CAP: IN NO EVENT SHALL OUR TOTAL, AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICE EXCEED THE TOTAL AMOUNT PAID BY YOU TO GURUDUX ENTERPRISE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100.00), WHICHEVER IS GREATER.

4. Acceptable Use, Termination, and Suspension

We reserve the right, at our sole discretion, to immediately suspend or terminate your account, workspace, and access to the Service without notice or liability, for any reason, including but not limited to:

• Breach or violation of these Terms.
• Use of the Service for illegal, fraudulent, or malicious activities (e.g., introducing viruses, scraping, or attempting to breach platform security).
• Non-payment of subscription fees.

Upon termination for cause, you will not be entitled to any refund.

5. Payment, Subscriptions, and No Refunds

All fees are non-refundable. When you purchase a subscription, you agree to pay all applicable fees. We do not provide refunds or credits for any partial subscription periods or unused Service time if you choose to cancel your account early.

6. User Data Ownership and Deletion ("Danger Zone")

• Ownership: You retain all right, title, and interest in and to all data, information, and content you submit to the Service ("User Data").
• Workspace Deletion: If you choose to delete your workspace (the "Danger Zone" action), your subscription will be canceled immediately.
• Mandatory Export: Upon initiating workspace deletion, you will be forced to download a `.zip` archive containing your media and database records.
• Cool-Off Period: After deletion, your User Data is not immediately destroyed. It enters a sixty (60) day "cool-off" state in our database. During this period, the data is held securely but is inaccessible via the standard user interface.
• Permanent Wipe: Upon the expiration of the 60-day cool-off period, all associated User Data will be permanently and irrecoverably wiped from our systems.

7. Audit Logging and Compliance

• To ensure security, compliance, and platform integrity, we track and record user actions within the database ("Audit Logs").
• By using the Service, you consent to the generation and storage of these Audit Logs. (See Privacy Policy for retention details).

8. Indemnification

You agree to defend, indemnify, and hold harmless GuruduX Enterprise and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.

9. Force Majeure

GuruduX Enterprise shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, labor disputes, internet service provider failures or delays, or governmental acts.

10. Governing Law, Arbitration, and Class Action Waiver

• Governing Law: These Terms shall be governed and construed in accordance with the laws of your jurisdiction, without regard to its conflict of law provisions.
• Binding Arbitration: Any dispute arising out of or relating to these Terms or the Service shall be resolved through final and binding arbitration, rather than in court.
• Class Action Waiver: YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST US ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

11. Modifications to the Service and Terms

We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. We may also revise these Terms from time to time. The most current version will always be posted on our website.

Privacy Policy

1. Information We Collect

We collect information you provide directly to us when you create an account, build a workspace, and input data into the GuruduX Enterprise platform. This includes User Data (as defined in the Terms and Conditions) and account credentials.

2. Audit Logging and Data Retention

We maintain comprehensive audit logs to ensure compliance, security, and operational integrity.

• Action Tracking: We track and log user actions, modifications, and access events within the database.
• Dynamic Retention Period: By default, these Audit Logs are retained for a period of 365 days. However, this retention period is a dynamic platform setting and may be adjusted by us as required by operational, legal, or compliance needs.
• Irrecoverable Purge: Once the retention period for an Audit Log entry expires, that specific record is irrecoverably purged from our active systems.

3. Data Deletion and the "Cool-Off" State

As outlined in our Terms and Conditions, you own your data and control its lifecycle.

• When a user intentionally deletes their workspace, they are provided with a complete `.zip` archive of their media and database records.
• Following the deletion action and immediate cancellation of the subscription, the User Data is placed into a 60-day "cool-off" state.
• This cool-off period is a protective measure against accidental deletion. During this time, the data is isolated and secured.
• Permanent Deletion: After exactly 60 days in the cool-off state, the User Data is permanently, automatically, and irrecoverably wiped from our databases.

4. How We Use Your Information

We use the information we collect to:

• Provide, maintain, and improve the Service.
• Process transactions and send related information, including confirmations and invoices.
• Send technical notices, updates, security alerts, and support messages.
• Monitor and analyze trends, usage, and activities in connection with our Service.
• Maintain the security and integrity of our platform via Audit Logs.

5. Data Security

We implement appropriate technical and organizational measures designed to protect the security of any personal information we process. However, please also remember that we cannot guarantee that the internet itself is 100% secure, and we provide the Service "AS IS".

6. Changes to this Privacy Policy

We may update this Privacy Policy from time to time. If we make material changes, we will notify you by revising the date at the top of the policy and, in some cases, we may provide you with additional notice (such as adding a statement to our homepage or sending you a notification).
